Terms and Conditions for Pre-Orders and Crowdfunding Campaign

Effective Date: Friday 21st November 2025

IMPORTANT LEGAL NOTICE: These Terms and Conditions ("T&Cs") govern your participation in our pre-campaign sales (via our website) and our upcoming crowdfunding campaign. By placing a pre-order, purchasing a product tier, or making a donation-only pledge, you agree to be bound by these T&Cs. These T&Cs are subject to change.

1. Acceptance of Terms

1.1. Agreement: These T&Cs constitute the entire agreement between you ("Customer," "Backer," or "You") and Ecology & Co ("Company," "We," or "Us") regarding the ordering, payment, and delivery of products and pledges made in support of the Ecology & Co Crowdfund campaign. 1.2. Legal Review: We strongly recommend that you review these T&Cs thoroughly before making any commitment. If you do not agree to these T&Cs, you should not participate in the pre-order or crowdfunding campaign.

2. Nature of the Transaction (Crowdfunding/Pre-Order)

2.1. Funding Commitment: You understand and acknowledge that this transaction is a commitment to fund a future production run, not a standard retail purchase of an immediately available product. Your payment supports the manufacturing, tooling, and development required to bring the Ecology & Co to market. 2.2. Product Status: The product is currently in the Development phase. Final specifications, colors, materials, and features are subject to minor modifications based on production necessity and quality control requirements. The Company reserves the right to make such reasonable changes without prior notice.

3. Payment, Order Commitment, and Delivery

3.1. Immediate Product Payment: All payments for the product cost only (for product purchases/rewards and donation-only pledges) are processed and collected at the time the order or pledge is placed. Your payment secures your place in the production queue or registers your donation. 3.2. Shipping Cost Payment (Separate): Shipping and handling costs will be calculated and charged to the Backer separately at the time of dispatch (estimated late March 2026). The Backer will be notified when shipping costs are due and must pay them prior to the product being sent. Failure to pay shipping costs within a reasonable notice period may result in the order being considered abandoned. 3.3. Binding Commitment: By completing this transaction, the Backer is making a binding, non-contingent commitment to purchase the future product or to offer the donation as specified in the pledge tier. 3.4. Estimated Delivery Date: The estimated delivery date for all product rewards/purchases is late March 2026. 3.5. Delivery Risk and Delays: You acknowledge that the delivery date in 3.4 is an estimate only. Production, logistics, international shipping, customs clearance, and quality assurance are subject to risks and delays common to the manufacturing process and supply chain, which are often beyond the Company’s direct control. The Company is not liable for any losses or damages arising from such delays. 3.6. Communication: The Company commits to providing regular and transparent updates regarding the progress of production and any necessary adjustments to the delivery timeline.

4. Specific Pledge Types

A. Product Pledges / Pre-Orders

4.1. Product Entitlement: Pledges made under tiers designated as including a product (e.g., "Limited Edition Sharing Pack" and “The Fridge Filler”) commit the Backer to purchasing that product. Upon successful production and fulfillment, the Backer will receive the product as described in the campaign details.

B. Donation-Only Pledges (Product-Free & Equity-Free)

4.2. Nature of Donation: Pledges made under the explicitly marked 'Donation Only,' 'Support Only,' or similar tiers are for the sole purpose of assisting the Company in its business growth, production costs, and overall development. 4.3. No Product Received: These pledges are strictly product-free and reward-free. The Backer will not receive any physical product, digital reward, service, or future credit in exchange for this contribution. 4.4. No Equity or Ownership: All donation-only pledges are equity-free. This contribution does not grant the Backer any ownership stake, share, debt interest, or royalty claim in the Company, the product, or its future revenues. It is a one-time, non-refundable monetary contribution.

5. Cancellation and Refunds

5.1. Refund Window (Product Pledges): For product pledges/pre-orders, the Backer may request a full refund within fourteen (14) days of the original order/pledge date. After this 14-day window, funds are committed to tooling and production, and all product sales are considered final and non-refundable. 5.2. Transferability: Pledges and pre-orders are non-transferable without the express written consent of the Company.

6. Use of Funds and Fulfilment Risk

6.1. Use of Proceeds: Funds raised through this campaign will be utilised for research and development, materials purchasing, tooling setup, manufacturing costs, quality control, fulfilment (shipping/logistics), and general business operations necessary to bring the product to market. 6.2. Project Failure: While highly unlikely, in the event that the Company is unable to produce and deliver the product due to catastrophic failure, bankruptcy, or unforeseen circumstances: The Company is legally obligated to use good faith efforts to fulfill the pledges but makes no guarantee of delivery or a full refund due to the inherent risks of crowdfunding.
